CHGPA Meeting - December 4 @ 7PM

Hello all,

The Board will be holding a CHGPA meeting at 7PM on Wednesday December 4. Below is the invite through Microsoft Teams.
The major point of business will be to review and approve Amended Articles of Incorporation. The main reason for the update is that CHGPA is currently a 501(c)(7) nonprofit entity. We would like to pursue becoming a 501(c)(3) nonprofit, which would permit donations to be tax deductible for donors. This requires some updates to CHGPA's Purposes in order to align with IRS requirements. There are other changes, including minor clean-ups and some substantive updates as well, which are outlined below.

Attached are three files: the New Proposed Articles, the older version, and a comparison of the changes.

We look forward to seeing those at the meeting.

Major changes:

Article II - Purposes
These edits help get the language expected to be needed to get 501(c)(3) status.

Articles IV & V, Sections 1 - Directors; Officers
These changes make it so membership votes for the Board members and the Board then appoints Officers. This is how corporations should typically be governed. The officer appointments should typically be a mere formality, but do allow for appointments from outside the Board, if necessary.

Article IV, Section 5 - Vacancies
This allows for a more seamless transition to new Board members and Officers if there is an unexpected vacancy.

Article XI - Suspension Expulsion.
Section 2 is added as a way for the Board to enact immediate suspension (but not expulsion) for any violations the Board unanimously deems worthy of putting a halt to a member's activities. This provides a mechanism to protect CHGPA immediately while further action is considered by the Board, and ultimately by the members. There hasn't been anything coming to mind recently, but I think this is a necessary addition for any eventuality, particularly after reading about the site closure in Massachusetts.

Article XIV - Dissolution
Updating this to allow the Board to choose where assets may go if membership cannot agree. This further assists in 501c3 status, in ensuring assets transfer to another nonprofit.
